By accessing or using VoiceInvoice ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

VoiceInvoice is operated by VoiceInvoice Inc. ("we," "us," or "our"). We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date.

2. Description of Service

VoiceInvoice is a voice-to-invoice software-as-a-service (SaaS) platform designed for independent contractors, tradespeople, and small business owners. The Service allows you to:

• Create professional invoices using voice commands processed by AI
• Generate and send PDF invoices via email
• Accept payments through integrated payment providers
• Capture electronic signatures from clients
• Customize invoices with your branding (Pro plan)
• Manage client information and invoice history

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to active subscribers.

3. User Accounts

Registration

To use VoiceInvoice, you must create an account by providing accurate and complete information, including a valid email address. You are responsible for maintaining the confidentiality of your account credentials.

Account Security

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use or security breach. We are not liable for any loss or damage arising from your failure to protect your account.

Eligibility

You must be at least 18 years old to use VoiceInvoice. By using the Service, you represent and warrant that you have the legal capacity to enter into this agreement.

4. Subscription, Billing & Payments

Subscription Plans

VoiceInvoice offers the following subscription options:

• Pro Monthly: $15 per month, billed monthly
• Pro Yearly: $150 per year, billed annually (save 17%)

Free Trial

New users may be eligible for a 7-day free trial. No credit card is required to start the trial. At the end of the trial, you must subscribe to continue using premium features.

Payment Processing

All payments are processed securely through industry-standard payment processors. We do not store your full credit card information on our servers. By subscribing, you authorize us to charge your payment method on a recurring basis.

Cancellation & Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access until the end of your current billing period. We do not offer prorated refunds for partial billing periods. For annual subscriptions, we offer a 30-day money-back guarantee from the date of purchase.

5. Acceptable Use

You agree not to use VoiceInvoice to:

• Create fraudulent, deceptive, or misleading invoices
• Engage in any illegal activities or facilitate illegal transactions
• Harass, abuse, or harm other users or third parties
• Attempt to gain unauthorized access to the Service or its systems
• Transmit viruses, malware, or other harmful code
• Interfere with or disrupt the Service or servers
• Resell or redistribute the Service without our written consent
• Use automated systems to excessively access the Service

Violation of these terms may result in immediate suspension or termination of your account.

6. Intellectual Property

Our Property

VoiceInvoice, including its logo, design, code, features, and content, is owned by VoiceInvoice Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our explicit permission.

Your Content

You retain ownership of all content you create using VoiceInvoice, including invoices, voice recordings, and client data. By using the Service, you grant us a limited license to process, store, and transmit your content solely to provide the Service.

Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to compensate you.

7. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using VoiceInvoice, you consent to the collection and use of your information as described in the Privacy Policy.

8. Disclaimers & Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOICEINVOICE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Third-Party Services

VoiceInvoice integrates with third-party services for payment processing and other functionality. We are not responsible for the actions, policies, or performance of these third parties.

9. Termination

We may suspend or terminate your account at any time if you violate these Terms or engage in conduct that harms the Service or other users. You may also close your account at any time.

Upon termination, your right to use the Service will cease immediately. We may retain certain data as required by law or for legitimate business purposes.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

11. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law. You agree to waive your right to a jury trial or to participate in a class action.
